Limitation of Liability & Indemnity

Consultant's liability for claims arising under this proposal shall be limited to direct damages not to exceed the total fees paid for the services under this proposal. Neither party shall be liable for consequential, special, or punitive damages. Client agrees to indemnify Consultant for third-party claims arising from Client-supplied information or materials.

Confidentiality

Both parties shall keep confidential all non-public information disclosed in connection with this proposal and use such information only for purposes of performing under the scope of services, except as required by law. Confidential materials do not include information that is or becomes publicly known other than by breach of this provision.
