FEE SERVICE AGREEMENT

This Fee Service Agreement ("Agreement") is entered into as of Effective Date: by and between Service Provider Name: with principal place of business at and Client Name: with principal place of business at .

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional services and possesses the experience, personnel and capability to perform the services described in this Agreement; and

WHEREAS, Client desires to retain Service Provider to perform such services on the terms and conditions set forth herein, and Service Provider agrees to perform such services in accordance with this Agreement; and

WHEREAS, the parties intend that Service Provider be compensated by the Client by the fees and payment mechanisms specified below.

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services"). The Services shall include the tasks, deliverables and schedules set forth in this section. Any material change to scope shall require prior written agreement and may affect fees and schedule.

PAYMENT TERMS

Compensation. Client shall pay Service Provider the fees for the Services as set forth below. All amounts are stated in lawful currency and are exclusive of applicable taxes unless otherwise indicated.

Adjustments; Taxes. Client shall reimburse Service Provider for reasonable out-of-pocket expenses approved in advance by Client. Client is responsible for all sales, use, value-added, and other transaction-based taxes arising from the Services, excluding taxes based on Service Provider's income.

TERM AND TERMINATION

Term. This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Termination for Cause. Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above following written notice. Termination shall not relieve Client of its obligation to pay fees for Services performed through the effective date of termination.

CONFIDENTIALITY

Definition. "Confidential Information" means non-public information disclosed by one party to the other in connection with the Services, whether oral, written or electronic, including pricing, business plans, customer data, trade secrets and technical information. Confidential Information does not include information that: (a) is or becomes publicly available through no breach by the recipient; (b) is rightfully received from a third party without restriction; or (c) is independently developed by the recipient without reference to the discloser's Confidential Information.

Nondisclosure and Use. Recipient shall hold Confidential Information in strict confidence, shall not disclose it to third parties except to recipients who have a need to know and are bound by obligations of confidentiality, and shall use Confidential Information solely to perform or exercise rights under this Agreement. Recipient shall implement reasonable security measures to protect Confidential Information.

Required Disclosure. If recipient is required by law or order of a court or governmental authority to disclose Confidential Information, recipient shall provide prompt written notice to discloser and cooperate with discloser's efforts to seek protective measures, to the extent permitted.

LIMITATION OF LIABILITY

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF SERVICE PROVIDER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments incorporated herein by written agreement of the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the contact information for each party provided below.

MISCELLANEOUS

Relationship of the Parties. The parties are independent contracting entities and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship. Neither party shall have the authority to bind the other except as expressly set forth in this Agreement.

Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.
