FEE SHARE AGREEMENT

This Fee Share Agreement ("Agreement") is made and entered into as of Effective Date: by and between the parties identified below.

PARTIES

RECITALS & DEFINITIONS

WHEREAS, Party A provides certain services or generates fees from clients or third parties ("Gross Fees"); and

WHEREAS, Party B introduced or otherwise contributed to the procurement of business and the parties wish to allocate and share fees in accordance with the terms below.

For purposes of this Agreement: "Net Fee" means Gross Fee less agreed direct discounts, refunds and documented third-party expenses; "Covered Engagement" means any client engagement that arises from introductions, referrals, marketing efforts, or direct participation by Party B as described in the Fee Schedule below.

FEE SCHEDULE

The parties agree that fees for Covered Engagements will be shared in accordance with the following table. If a line item is not applicable, enter "N/A".

CALCULATION & PAYMENT

All fee shares due to Party B shall be calculated on the Net Fee for each Covered Engagement and paid in accordance with the Payment Terms selected below.

INVOICING, RECORDS & AUDIT

Party A shall deliver to Party B an invoice or statement identifying the Covered Engagement, Gross Fee, adjustments, and the resulting Net Fee and Party B's share. Party B may request supporting documentation and shall have the right, upon written notice, to inspect and audit relevant records during normal business hours upon reasonable prior notice.

TAXES & WITHHOLDING

Each party is responsible for its own taxes arising from amounts received under this Agreement. Party B is solely responsible for reporting and paying any taxes applicable to amounts received by Party B. If any applicable law requires withholding, Party A may withhold amounts required and shall provide documentation of any withholding to Party B.

TERM & TERMINATION

This Agreement shall commence on the Effective Date and continue for a term of unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach that remains uncured after days' written notice. Termination will not affect payment obligations for fees earned prior to termination.

CONFIDENTIALITY

Each party shall maintain the confidentiality of non-public business information received from the other party in connection with Covered Engagements and shall not disclose such information except as required by law, with prior written notice to the other party where permissible.

REPRESENTATIONS, WARRANTIES & INDEMNITY

Each party represents and warrants that it has authority to enter this Agreement and that the execution and performance will not violate any law or prior agreement. Each party shall indemnify and hold harmless the other from losses resulting from its breach, willful misconduct, or negligent acts relating to this Agreement.

LIMITATION OF LIABILITY

Except for indemnification obligations and willful misconduct, neither party shall be liable for indirect, incidental, consequential, special, or punitive damages arising under this Agreement. The aggregate liability of each party under this Agreement shall not exceed the total fees paid by Party A to Party B in the twelve (12) months preceding the claim.

NOTICES

All notices and communications under this Agreement shall be in writing and delivered to the addresses set forth above for each party, or to such other address as a party may designate in writing.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior agreements. Any amendment must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions remain in full force. This Agreement shall be governed by the laws of the jurisdiction specified by the parties below.
