Whereas

WHEREAS, Client seeks to obtain feedback from designated respondents to evaluate services, products, or programs and requires a professionally prepared survey instrument, distribution, and analysis;

WHEREAS, Provider represents that it has the experience, personnel, and systems necessary to design, administer, and report on the feedback survey in accordance with the objectives set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows.

Scope of Work

Provider shall prepare, administer, and analyze a feedback survey as described below. Provider shall perform services in a professional manner consistent with industry standards and in accordance with the schedule agreed by the parties.

Payment Terms

Client shall pay Provider for services rendered as follows. Fees are non-refundable except as expressly stated in this Agreement.

Term and Termination

This Agreement commences on the Effective Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breach remains uncured for the notice period set forth above. Upon termination, Client shall pay Provider for all work performed up to the termination effective date and for any non-cancelable commitments made in good faith.

Confidentiality

Each party shall treat as Confidential Information all non-public information disclosed by the other party in connection with this Agreement. Confidential Information shall not include information that (i) is or becomes publicly known through no act or omission of the receiving party; (ii) was lawfully in the receiving party’s possession prior to receipt; (iii) is independently developed by the receiving party without use of the disclosing party’s Confidential Information; or (iv) is rightfully obtained from a third party without restriction.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located within that state unless the parties agree otherwise in writing.

This Agreement, together with any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as a party may designate by written notice to the other party.
