PAYMENT TERMS

If the Client engages the Contractor to perform the work described or to rely upon a selected proposal, the parties agree the following payment terms shall apply:

All payments are due within the period specified in the Payment Schedule. Unless otherwise agreed in writing, the Client shall be liable for costs of collection, including reasonable attorneys' fees, on overdue balances.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon providing the Notice Period identified above. Either party may terminate for material breach if the breach is not cured within 15 days after written notice. Upon termination, Client shall pay Contractor for all work performed and materials ordered through the effective date of termination; Contractor shall provide an accounting of costs and shall return or reasonably account for any Client materials.

CONFIDENTIALITY

Each party acknowledges that in connection with the comparison process and any resulting engagement, it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in written, electronic or oral form that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances.

The receiving party shall: (a) hold Confidential Information in confidence and not disclose it to third parties except as required for the comparison or performance of the work; (b) use Confidential Information solely to evaluate or perform the fence installation; and (c) take reasonable measures to prevent unauthorized use or disclosure. Confidentiality obligations shall not apply to information that: is in or enters the public domain through no fault of the receiving party; was rightfully in the receiving party's possession prior to disclosure; or is required to be disclosed by law or court order, provided the receiving party gives prompt notice and cooperates in seeking protective measures.

The obligations under this section shall survive termination or expiration of this Agreement for a period of three (3) years.

REPRESENTATIONS AND WARRANTIES

Each party represents that it has full power and authority to enter into this Agreement and that the execution of this Agreement will not violate any other agreement to which it is subject. Contractor represents that any proposal submitted will reflect reasonable workmanship standards and that materials provided will be as specified in the applicable proposal unless otherwise disclosed.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising under this Agreement shall be the courts located in the county in which the property is located, to the extent permitted by law.

ENTIRE AGREEMENT

This Agreement, together with any accepted proposal and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.

Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.
