FERMENTATION AGREEMENT

This Fermentation Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: , a party seeking fermentation services, and Fermenter Name: , the party providing fermentation services (each a "Party" and collectively the "Parties").

Recitals (WHEREAS)

WHEREAS, Client desires to engage Fermenter to perform fermentation services for the product described below at Facility Location: ; and

WHEREAS, Fermenter represents that it has the equipment, personnel, and technical expertise to produce, monitor, and deliver the fermented product in accordance with the specifications set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the Parties agree as follows.

Scope of Work

Delivery; Acceptance; Title

Fermenter shall produce and make available the fermented product for pickup or delivery at the Facility Location specified above. Client shall inspect and accept or reject product within Acceptance Period: days following notice of availability. Title to the product transfers upon delivery to Client or carrier, except that ownership of any biological strains, seed stocks, proprietary methods, and by-products remains with the originating Party as expressly set forth in this Agreement.

Payment Terms

Late payments shall incur a late fee equal to Late Fee Percentage: on the outstanding balance or the maximum allowed by law, whichever is less. Invoicing will be performed on Invoice Cycle: . All amounts are stated in Currency: .

Term and Termination

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this Section.

Either Party may terminate for convenience upon providing written notice no fewer than Notice Period (days): days. Either Party may terminate immediately for material breach if such breach remains uncured for Cure Period (days): days after written notice. Termination will not relieve Client of payment obligations for services performed prior to termination.

Confidentiality

Each Party shall treat as confidential all non-public information disclosed by the other Party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is (a) publicly known through no fault of the recipient, (b) independently developed without reference to Confidential Information, or (c) rightfully received from a third party without breach of any obligation of confidentiality. The receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement, (ii) restrict disclosure to employees and contractors who have a need to know and are bound by obligations of confidentiality, and (iii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

Compliance; Insurance; Indemnification

Fermenter shall perform services in compliance with applicable laws, regulations, permits, and industry standards. Fermenter shall maintain commercial general liability and professional liability insurance with minimum limits of Coverage Details: , and upon request shall provide certificates of insurance.

Each Party shall indemnify, defend, and hold harmless the other Party from and against any third-party claims arising out of the indemnifying Party's gross negligence, willful misconduct, or material breach of this Agreement; provided that the indemnified Party provides prompt written notice of the claim and cooperates in the defense. The foregoing indemnity is subject to any limitations of liability set forth below.

Intellectual Property; Ownership of Materials

Except as expressly set forth herein, Client retains ownership of Client Materials including biological strains and feedstocks provided to Fermenter. Fermenter retains ownership of its pre-existing processes, know-how, and non-client-specific improvements. Ownership of any improvements created solely for Client pursuant to this Agreement shall be allocated as follows:

Records; Audit; Retention

Fermenter shall maintain production and quality records related to the Services for Record Retention Period (years): years. Client may audit relevant records upon reasonable prior notice and during normal business hours to verify compliance with this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of State: , without regard to choice-of-law principles. The Parties shall first attempt to resolve disputes through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in the agreed forum unless court relief is necessary to prevent irreparable harm.

Entire Agreement; Amendments

This Agreement, together with any exhibits and purchase orders expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both Parties.

Miscellaneous

Neither Party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force. The Parties acknowledge that monetary damages may be an inadequate remedy for breach of confidentiality or proprietary rights and agree that equitable relief may be sought in addition to other remedies.
