FESTIVAL SERVICES AGREEMENT

This Festival Services Agreement ("Agreement") is made as of Date: by and between Service Provider: (Entity Type: ) and Festival Organizer: (Entity Type: ).

RECITALS

WHEREAS, Organizer operates a public event known as Festival Name: scheduled to occur on Event Date: at Location: .

WHEREAS, Service Provider represents that it has the experience, personnel, equipment, and licenses necessary to provide the services described herein and is willing to provide such services to Organizer under the terms and conditions of this Agreement.

WHEREAS, the parties wish to set forth their entire agreement with respect to the provision of services for the festival on the terms contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SERVICES

1.1 Scope of Services. Service Provider shall provide the services described in the Scope of Services below (the "Services"). Service Provider shall supply qualified personnel, equipment, transportation and materials necessary to perform the Services in a professional manner consistent with industry standards.

2. PERFORMANCE STANDARDS; DELIVERABLES

2.1 Standard of Performance. Service Provider shall perform the Services in accordance with accepted industry standards and applicable law, and shall ensure that all personnel are competent and adequately supervised.

2.2 Schedule. Service Provider shall commence Services as required to meet the festival schedule and shall adhere to timelines agreed in writing. Any change to material scheduling shall be provided in writing and approved by Organizer.

3. COMPENSATION AND PAYMENT

3.1 Fees. Organizer shall pay Provider total fees of $ for the Services, subject to adjustments as expressly set forth in this Agreement.

3.2 Payment Schedule. Organizer shall pay a deposit of $ due by Date: . Remaining balance shall be invoiced and due within days of receipt of invoice.

3.3 Taxes. Unless otherwise specified, fees do not include taxes. Each party shall be responsible for its own taxes arising from this Agreement.

4. TERM AND TERMINATION

4.1 Term. The term of this Agreement begins on the effective date and terminates upon completion of the Services provided all payments and obligations have been satisfied, unless earlier terminated as provided herein.

4.2 Termination for Cause. Either party may terminate for material breach if the breaching party fails to cure such breach within days after written notice.

4.3 Termination for Convenience. Organizer may terminate for convenience upon written notice to Provider; in such event Organizer shall pay Provider for Services performed up to termination and reasonable demobilization costs.

5. INDEPENDENT CONTRACTOR

Provider is an independent contractor and not an employee, agent or partner of Organizer. Provider shall be solely responsible for withholding taxes, benefits, and all employment obligations for its personnel.

6. INSURANCE AND INDEMNITY

6.1 Insurance. Provider shall maintain commercial general liability insurance with limits not less than $ per occurrence and workers' compensation as required by law. Certificates evidencing coverage shall be provided to Organizer upon request.

6.2 Indemnity. Provider shall indemnify, defend and hold harmless Organizer, its officers, employees and agents from and against any claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Provider's performance or breach of this Agreement, except to the extent caused by Organizer's negligence or willful misconduct.

7. PERMITS, LICENSES, COMPLIANCE

Organizer shall obtain and pay for venue permits, licenses and approvals required for the event, unless otherwise agreed in writing. Provider shall obtain any permits required specifically for its equipment or personnel.

8. SAFETY; SITE ACCESS

Provider shall comply with Organizer's reasonable safety rules and the directions of venue security. Provider shall maintain a safety plan and shall immediately notify Organizer of any incident or accident involving injury or property damage.

9. PUBLICITY; INTELLECTUAL PROPERTY

9.1 Publicity. Neither party shall use the other's name, logo or trademarks for publicity without prior written consent, except that Organizer may use Provider's name in event materials to identify contracted services.

9.2 Intellectual Property. Unless otherwise agreed in writing, Provider retains ownership of its pre-existing intellectual property and Organizer receives a non-exclusive license to any deliverables solely for Organizer's use in connection with the festival. Rights to recordings or broadcasts shall be allocated as separately agreed in writing.

10. CONFIDENTIALITY

Each party shall hold in confidence non-public information received from the other that is clearly identified as confidential and shall not disclose such information except to employees, agents or contractors who need access to perform this Agreement. Confidential information does not include information that is public or independently developed without use of confidential information.

11. FORCE MAJEURE

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, strikes, governmental orders, pandemics, extreme weather or other force majeure events. The affected party shall promptly notify the other and shall use reasonable efforts to mitigate the effect of the event.

12. LIMITATION OF LIABILITY

Except for liabilities arising from gross negligence, wilful misconduct or indemnification obligations, each party's aggregate liability under this Agreement shall be limited to the total fees actually paid by Organizer to Provider for the Services under this Agreement.

13. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail, or overnight courier, and shall be deemed given upon receipt.

14. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No failure or delay in exercising any right shall operate as a waiver. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the festival takes place, without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The parties represent and warrant that each has the power and authority to enter into this Agreement and that the person signing below on behalf of an entity is duly authorized to bind that entity.
