FHA PURCHASE CLAUSE

This FHA Purchase Clause is incorporated into and made part of the Purchase Agreement dated for the real property identified below. Unless otherwise modified in writing, the terms below govern matters related to FHA-insured financing and FHA-required property conditions.

Buyer shall apply for FHA-insured financing and use good faith efforts to obtain a firm FHA loan commitment within days of the Effective Date of the Purchase Agreement. If Buyer fails to obtain a FHA loan commitment within that period, Buyer may terminate the Purchase Agreement in accordance with its terms.

Appraisal, Inspection, and FHA-Required Repairs

Buyer shall order the FHA appraisal within days after lender assignment of an appraiser. If the FHA appraisal identifies repairs necessary to meet FHA minimum property standards, Seller shall, at Seller's option, either: (a) complete such repairs prior to closing; or (b) deposit into escrow a holdback in the amount of $ to assure completion. Seller's obligation under this provision shall not exceed $ unless otherwise agreed in writing by the parties.

If the cost to cure FHA-required items exceeds the Seller repair cap stated above, Buyer may elect, within days after receipt of the appraisal and repair estimates, to (i) accept the property subject to Seller performing the repairs; (ii) accept a reduction in purchase price or seller credit in lieu of repairs; or (iii) terminate the Purchase Agreement and receive a refund of earnest money.

Seller agrees to provide reasonable access for inspections and for completion or verification of FHA-required repairs. Seller further agrees to provide written contractor estimates for any required repairs upon request within days.

Seller Certifications and Notices

Seller certifies that, to Seller's actual knowledge as of the Effective Date: (a) the property is in substantially the same condition as when last reported to Buyer; (b) there are no known material latent defects materially affecting habitability not previously disclosed; and (c) Seller has not converted the property to a use inconsistent with FHA occupancy requirements that would impair FHA loan approval. Seller shall notify Buyer in writing immediately if Seller becomes aware of facts inconsistent with these certifications prior to closing.



Default, Remedies, and Miscellaneous

If Buyer terminates under the FHA financing or appraisal provisions set forth herein, earnest money shall be disbursed in accordance with the Purchase Agreement. Seller's failure to perform FHA-required repairs or to deposit agreed holdback may constitute a material default under the Purchase Agreement entitling Buyer to pursue available remedies, including termination and return of earnest money. Nothing in this Clause obligates any lender to approve financing or to insure the mortgage; Buyer remains responsible for satisfying lender underwriting and FHA requirements.

Governing Law: This Clause shall be governed by the laws applicable to the Purchase Agreement. This Clause, together with the Purchase Agreement and any addenda expressly incorporated, constitutes the entire agreement between Buyer and Seller concerning FHA-related matters and supersedes prior oral or written statements on these topics.
