FIELD SERVICE RATE AGREEMENT

This Field Service Rate Agreement ("Agreement") is made between the parties identified below for services to be performed at the real property described in Section 2. The parties agree to the terms, rates and conditions set forth herein.

Contractor shall perform routine field services, maintenance and emergency response as requested by Client at the Property. Services include, but are not limited to: site inspections, minor repairs, mowing, irrigation troubleshooting, lock/key management, debris removal and vendor coordination. Specific tasks and frequency shall be described in written work orders or purchase orders issued under this Agreement.

4. Rates, Billing and Payment

Client agrees to pay Contractor the following rates for services performed at the Property. These rates are exclusive of applicable sales, use or other transactional taxes unless otherwise stated.

5. Work Orders and Authorizations

Contractor shall perform services only upon receipt of a written work order, purchase order, or electronic authorization specifying services requested, property, and estimated cost. Emergency work may be commenced with subsequent written confirmation when immediate action is required to prevent material damage.

Client discloses the following known property conditions. Contractor’s performance is conditioned on Client providing accurate information about hazardous conditions and access requirements.

8. Insurance, Indemnity and Compliance

Contractor shall maintain commercial general liability insurance, automobile liability and workers' compensation as required by law. Contractor shall name Client as an additional insured on applicable liability policies for work under this Agreement upon Client’s request. Contractor shall comply with all applicable laws, regulations and safety standards.

Contractor agrees to indemnify, defend and hold harmless Client, its agents and assigns from any claims, liabilities, damages, losses and expenses arising out of Contractor’s performance except to the extent caused by Client’s negligence or willful misconduct. This indemnity survives termination of this Agreement.

9. Default, Cure, Termination and Remedies

Either party may terminate this Agreement upon written notice if the other party materially breaches and fails to cure within fifteen (15) days after receipt of written notice. Client’s failure to pay undisputed invoices when due constitutes a material breach. Termination does not relieve Client of payment for services performed and materials ordered prior to termination.

In the event of non-payment, Contractor may suspend services after providing seven (7) days written notice and shall be entitled to recover collection costs, including reasonable attorneys’ fees.

10. Change Orders

Any change in scope, rates or scheduled work must be approved in writing by the Client and Contractor via a Change Order which shall describe the change, cost impact and any adjustment to time for performance.

11. Confidentiality and Use of Keys

Contractor will maintain the confidentiality of access codes, alarm information and keys. Keys shall be used only for performance of authorized services and shall be returned to Client upon request. Contractor will maintain a log of access when requested by Client.

12. Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential or punitive damages. Contractor’s aggregate liability for direct damages arising from performance shall be limited to the amount paid by Client to Contractor under this Agreement during the six (6) months preceding the event giving rise to the claim.

13. Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by both parties. This Agreement shall be governed by the laws of the state where the Property is located.

14. Certifications

Contractor certifies that it is duly authorized to perform the services described herein, that it holds all licenses and permits required by law, and that the rates quoted are true and correct to the best of Contractor's knowledge. Client certifies that it is authorized to request services at the Property and to enter into this Agreement.
