What a File Share Attestation Agreement Is

A File Share Attestation Agreement is a written declaration by a party that files, data sets, or records have been shared, that access permissions and handling meet specified requirements, and that the attesting party accepts responsibility for accuracy and authorized distribution. Typically used when transferring sensitive information between organizations or to third-party vendors, the agreement defines the scope of files shared, security controls applied, permitted recipients, retention obligations, and corrective actions for noncompliance. It documents chain-of-custody expectations and provides an auditable record supporting regulatory or contractual obligations.

Why this agreement matters for compliance and accountability

The File Share Attestation Agreement creates a formal, auditable record that the sender and recipient understand access limits, data classifications, and handling obligations. It supports regulatory compliance under frameworks such as ESIGN/UETA and industry rules like HIPAA or FERPA where applicable.

Why this agreement matters for compliance and accountability

Typical users and when they sign

Use this agreement whenever files cross organizational boundaries, involve protected data, or when a documented attestation will reduce downstream dispute risk.

  • IT and security teams validating access controls and encryption on transferred files.
  • Legal and compliance personnel documenting consent, authorization, and auditability.
  • Vendors and third-party service providers attesting receipt and permitted use of shared data.

How to complete a File Share Attestation Agreement

Follow these steps to prepare and finalize a clear, enforceable attestation tailored to the files and parties involved.

  • 01
Prepare files: List files, formats, sizes, and classification for clarity.
  • 02
Define access: Specify recipients, roles, and permitted operations.
  • 03
Specify controls: State encryption, authentication, and transfer method.
  • 04
Sign and retain: Execute by authorized signers; preserve an audit record.

Typical online workflow settings for e-submission

Configure the digital workflow to capture intent, consent, authentication, and an immutable audit trail.

Field Configuration
Signature Type Electronic signature with audit trail
Authentication Email link or SMS code; consider stronger methods for PHI
Document Retention Store signed copy and audit record securely
Access Controls Limit download and sharing after signing

End-to-end process for eSigning and delivery

A standard electronic attestation workflow collects evidence of intent and produces a verifiable record for both parties.

  • Upload: Sender uploads files and places attestation fields.
  • Configure: Set authentication, expiration, and retention rules.
  • Sign: Signers authenticate and apply electronic signatures.
  • Archive: Signed document and audit trail are stored securely.

Technical considerations for digital completion

Ensure the chosen platform meets your regulatory and retention needs and can export signed PDFs with embedded audit metadata.

  • Integrations: CRM, cloud storage, and API connectivity
  • Formats: PDF, DOCX, and HTML supported
  • Authentication: Email, SMS, or stronger methods

Essential elements to include in a professional agreement

A complete File Share Attestation Agreement should clearly identify parties, files, controls, responsibilities, retention, and remedies for noncompliance.

Party Identification

Full legal names and roles for sender, recipient, and any third-party processors to establish contractual responsibility and enable authorization checks.

File Inventory

A precise catalog of files, including filenames, formats, sizes, and classification level (e.g., public, internal, confidential, PHI) to avoid ambiguity about what was shared.

Access and Use

Clear limits on permitted use, redistribution, and retention, including role-based access restrictions and prohibitions on unauthorized sharing or processing.

Security Controls

Describe encryption in transit and at rest (TLS 1.2/1.3, AES-256), authentication methods, and logging requirements used during transfer and storage.

Retention & Disposal

Specify retention periods, secure deletion methods, and certificate or log preservation obligations to meet regulatory or contract terms.

Audit & Remedies

Include audit rights, incident notification timelines, indemnities, and corrective actions if a party breaches access or handling obligations.

Security and compliance data points to record

Encryption: TLS 1.2/1.3 in transit, AES-256 at rest
Audit Trail: IP, timestamp, and action log
Authentication: Email, SMS code, or multi-factor
BAA Requirement: HIPAA requires a signed BAA if PHI involved
Retention: Preserve signed record and metadata
Certifications: SOC 2 Type II, ISO 27001 where applicable

Consequences and legal risks to avoid

Regulatory Fines: HIPAA fines and penalties may apply
Contract Liability: Breach can trigger indemnities and damages
Tax Penalties: Incorrect reporting may cause IRS penalties
Invalid Attestation: Improper execution can render agreement unenforceable
Data Breach Costs: Notification and remediation expenses
Loss of Rights: Failure to retain records may forfeit evidence

Common pitfalls when preparing an attestation

  • Using vague file descriptions instead of a clear inventory leads to disputes about what was actually shared and misapplied protections.
  • Failing to name an authorized signer or using a signer without delegation can undermine the agreement’s enforceability and delay remediation.
  • Relying on unsecured transfer methods without documenting encryption and authentication increases exposure to interception and regulatory scrutiny.
  • Not specifying retention and deletion processes can cause unnecessary retention of sensitive data or premature deletion that complicates audits.

Key dates and typical timing expectations

Set clear deadlines in the agreement for attestation, review, and dispute resolution to reduce ambiguity about responsibilities.

Effective Date:

Date when access permissions and obligations begin; use MM/DD/YYYY.

Attestation Deadline:

Commonly 10 business days from receipt for review and signature.

Incident Notification:

Typically 72 hours from discovery for security incidents affecting shared files.

Retention Start:

Begins on the Effective Date or attestation date, as defined.

Dispute Window:

Specify timeframe to raise disputes, often 30–60 days after delivery.
