Payment Terms

In consideration for the services described above, Client shall pay Provider the amounts and on the schedule set forth below. All amounts are in U.S. dollars unless otherwise agreed in writing.

Term and Termination

Term: This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing written notice to the other party no fewer than Notice Period: prior to the effective termination date. Termination for cause shall be effective immediately upon written notice following a material breach that remains uncured for thirty (30) days after delivery of written notice specifying the breach.

Confidentiality

Each party agrees that it will not disclose Confidential Information of the other party except as required to perform its obligations under this Agreement, and will use at least the same degree of care to protect such Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information shall not include information that (i) is or becomes generally available to the public through no fault of the receiving party; (ii) was in the receiving party's lawful possession prior to receipt from the disclosing party; or (iii) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

Independent Contractor; Compliance

Provider is an independent contractor and not an employee, agent, partner or joint venturer of Client. Provider is solely responsible for all taxes, withholdings and other statutory or contractual obligations of any sort, including worker classification and benefits for Provider's personnel. Provider agrees to comply with all applicable laws in performing services.

Liability; Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses or damages (including reasonable attorneys' fees) arising from the indemnifying party's negligence, willful misconduct, or breach of this Agreement. Except for indemnification obligations, the maximum aggregate liability of either party for damages arising out of or related to this Agreement shall not exceed the total amount paid by Client to Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising out of this Agreement through negotiation. If the dispute is not resolved within forty-five (45) days, the parties may seek any available legal or equitable remedies.

Entire Agreement; Amendments

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
