This Filing Services Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Filing Agent Name: .

RECITALS

WHEREAS, Client requires preparation, assembly and submission of the Filing Document described below to the Filing Recipient; and

WHEREAS, Filing Agent has the experience, staff and authority necessary to prepare and submit such filings on behalf of Client in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective duties, payment terms and other terms and conditions governing the preparation and submission of the Filing Document.

FILING DETAILS

SCOPE OF WORK

Filing Agent shall perform the following services on behalf of Client, in accordance with the standards of care applicable to professional filing services:

The Scope of Work shall include preparation of required forms and attachments, review for completeness, execution coordination, payment of applicable filing fees on Client's behalf when instructed in writing, electronic or physical submission, and delivery to Client of proof of filing or certified copies when available.

PAYMENT TERMS

All fees are due as set forth above. Unpaid amounts shall accrue the Late Payment Fee specified and Client shall also be responsible for reasonable collection costs and attorneys' fees incurred to obtain unpaid amounts.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if such breach is not cured within the Notice Period after written notice. Termination shall not relieve Client of obligation to pay Fees and reimbursable expenses incurred through the effective date of termination. Sections that by their nature survive termination, including Confidentiality, Indemnification and Governing Law, shall survive.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement ("Confidential Information"), and shall not use or disclose such information except as necessary to perform its obligations hereunder or as required by law. Confidential Information does not include information that is or becomes public through no fault of the receiving party, or that was already known to the receiving party without obligation of confidentiality. The obligations set forth in this paragraph shall survive termination of this Agreement for a period of three (3) years.

REPRESENTATIONS; INDEMNITY

Client represents that all information and documentation provided to Filing Agent for preparation of the Filing Document is true, complete and accurate. Client shall indemnify and hold harmless Filing Agent from and against any claims, liabilities, losses or expenses arising from Client's omissions, misrepresentations or failure to timely provide required information, except to the extent caused by Filing Agent's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Governing Jurisdiction: without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

CERTIFICATION OF FILING

Upon completion of the filing, Filing Agent shall deliver to Client a written Certificate of Filing or other evidence of submission. Client acknowledges that processing and acceptance of filings is within the jurisdiction of the Filing Recipient and that Filing Agent does not guarantee acceptance where applicable statutory or regulatory requirements are not met.
