This Casting Director Agreement (the "Agreement") is entered into as of the effective date set forth below between Client Name: , with principal place of business at (the "Producer"), and Casting Director Name: , with contact address at (the "Casting Director"), in connection with the project titled: .

RECITALS

WHEREAS, Producer is producing a motion picture, television program or other audiovisual production described as: (the "Production"); and

WHEREAS, Producer desires to engage Casting Director to provide casting direction and related services for the Production, and Casting Director is willing to provide such services on the terms set forth herein; and

WHEREAS, the parties intend that Casting Director shall perform its services as an independent contractor and not as an employee of Producer.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT

Producer hereby engages Casting Director to provide casting services for the Production and Casting Director accepts such engagement upon the terms and conditions set forth in this Agreement. Casting Director shall use reasonable skill, care and industry-standard practices in performing the services described in Section 3.

2. TERM

The term of this Agreement shall commence on the effective date: and shall continue until completion of casting services for principal photography or until earlier termination in accordance with Section 15.

3. SCOPE OF SERVICES

Casting Director shall perform the following services: casting calls and auditions; preparation of breakdowns; submission of audition tapes and candidate lists; coordination with Producer and director on auditions and callbacks; negotiation of terms with talent agents as authorized by Producer; and delivery of final cast recommendations. 4. COMPENSATION

As full compensation for the services rendered under this Agreement, Producer shall pay Casting Director a fee in the sum of payable according to the following schedule: . All payments are subject to any required tax withholdings and applicable employment laws.

5. EXPENSES

Producer agree to reimburse Casting Director for reasonable and pre-approved out-of-pocket expenses incurred in the performance of services, including venue rental, on-camera staff, and travel, up to a maximum of unless otherwise approved in writing by Producer. Reimbursement shall be made upon submission of itemized receipts and documentation.

6. REIMBURSEMENT PROCEDURE

Casting Director shall submit monthly invoices itemizing services performed and reimbursable expenses. Producer shall pay undisputed amounts within days of receipt. Disputed items shall be identified in writing and resolved in good faith.

7. WORK PRODUCT; RIGHTS

All tangible materials, casting lists, audition recordings and other deliverables prepared by Casting Director in connection with the services shall be deemed "Work Product." Producer shall own all right, title and interest in and to the Work Product, subject to Casting Director's moral rights, if any, and any pre-existing rights of third parties. Casting Director hereby assigns to Producer all rights necessary for Producer to exploit the Work Product in perpetuity.

8. CONFIDENTIALITY

Casting Director shall keep confidential all non-public information concerning the Production, Producer, talent submissions and business affairs and shall not disclose such information to any third party except as required to perform services hereunder or as required by law. The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

9. CREDIT

Producer shall provide Casting Director with a casting credit as follows: in the main titles if feasible and in promotional materials in accordance with industry custom. If credit is withheld, Producer shall provide written explanation.

10. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full authority to enter into this Agreement, that execution will not violate any other agreement, and that the party will comply with all applicable laws and union rules. Casting Director further represents that it has all permits and permissions necessary to perform the services.

11. INDEPENDENT CONTRACTOR

Casting Director is engaged as an independent contractor. Nothing in this Agreement shall be construed to create an employment, partnership or joint venture relationship. Casting Director shall be solely responsible for all payroll taxes, workers' compensation, insurance and other obligations relating to its employees and subcontractors.

12. CONFLICTS AND EXCLUSIVITY

Casting Director represents that it has disclosed any actual or potential conflicts of interest. The parties agree that Casting Director's services shall be exclusive to this Production for the period of principal casting or non-exclusive; if exclusive, exclusivity period shall be until .

13. INDEMNIFICATION

Casting Director shall indemnify and hold harmless Producer and its affiliates from and against any claims, liabilities, losses, damages and costs (including reasonable attorneys' fees) arising out of Casting Director's negligence, willful misconduct, breach of this Agreement, or violation of law in performing services. Producer shall promptly notify Casting Director of any claim and permit Casting Director to defend and settle the claim subject to Producer's reasonable consent.

14. INSURANCE

Casting Director shall maintain commercial general liability insurance with limits of at least $ per occurrence and professional liability insurance covering casting services. Upon request, Casting Director shall provide certificates of insurance naming Producer as additional insured where applicable.

15. TERMINATION

Either party may terminate this Agreement upon written notice to the other if the other party materially breaches this Agreement and fails to cure within days after receipt of notice. Producer may terminate immediately for convenience upon payment to Casting Director of fees earned and reasonable documented costs through the date of termination.

16. NOTICES

All notices under this Agreement shall be in writing and delivered by hand, certified mail (return receipt requested), or overnight courier to the addresses below or such other address as a party may designate in writing.

17. AMENDMENTS; WAIVER
