Film Video Release Agreement

This Film Video Release Agreement ("Agreement") is made as of Effective Date: by and between Producer Name: with Producer Address: and Contributor Name: with Contributor Address: .

RECITALS

WHEREAS, Producer is producing a motion picture, video, or audiovisual production tentatively titled Project Title: (the "Project"); and

WHEREAS, Contributor agrees to participate in the Project and to grant Producer the rights set forth in this Agreement in connection with Contributor's services, performance, appearance, voice and/or likeness; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the recording and use of Contributor's performance, image, and voice.

NOW, THEREFORE

In consideration of the mutual covenants and agreements herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. GRANT OF RIGHTS

1.1 Contributor hereby irrevocably grants, assigns and conveys to Producer, its licensees, successors and assigns, the exclusive, perpetual, worldwide right to photograph, videotape, record, reproduce, edit, distribute, exhibit, license, broadcast, transmit, stream and otherwise use Contributor's name, image, likeness, voice, performance, biographical material and other contributions (collectively, "Contributions") in connection with the Project and any ancillary materials, in all media now known or hereafter devised, without limitation.

1.2 Contributor grants Producer the right to incorporate the Contributions into derivative works and to use Contributor's name, trade name, trademark, service mark, and biographical information for advertising, publicity, promotion and exploitation of the Project.

2. RECORDING DETAILS

Contributor consents to reasonable editing, alteration, dubbing, color correction, special effects and other modifications to the Contributions as deemed appropriate by Producer in its sole discretion.

3. COMPENSATION

3.1 As full and complete consideration for the rights granted and services provided hereunder, Producer shall pay Contributor as follows: .

3.2 Unless expressly provided above, Contributor acknowledges and agrees that no further payment or accounting will be due for any exploitation of the Contributions and waives any entitlement to residuals, royalties or additional compensation.

4. CREDIT

Contributor shall be credited in the Project in substantially the following form if Producer elects to provide on-screen credits: Credit: . If no credit text is specified, Contributor agrees that Producer has no obligation to provide credit.

5. REPRESENTATIONS AND WARRANTIES

Contributor represents and warrants that: (a) Contributor is at least 18 years of age (unless otherwise disclosed in writing), has full right, power and authority to enter into this Agreement and to grant the rights herein; (b) Contributor's performance and Contributions do not and will not infringe or violate any third party rights or any contractual obligations; (c) there are no existing agreements or legal restrictions that would limit Contributor's ability to grant the rights granted herein.

6. RELEASE, WAIVER AND ASSUMPTION OF RISK

Contributor hereby releases, discharges, and holds harmless Producer, its affiliates, licensees, successors, assigns, employees and agents from any and all claims, demands, actions, causes of action, liabilities, losses, and damages of every kind and nature, known or unknown, whether in law or equity, arising out of or relating to the recording, use, distribution or exploitation of the Contributions, including claims for invasion of privacy, defamation, right of publicity, and emotional distress.

7. INDEMNIFICATION

Contributor shall indemnify, defend and hold harmless Producer and its officers, directors, employees, agents and affiliates from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any breach or alleged breach of Contributor's representations, warranties or obligations under this Agreement or any claim by a third party related to the Contributions.

8. CONFIDENTIALITY

The existence and terms of this Agreement shall be treated as confidential by the parties except as necessary to effectuate the terms hereof or as required by law. Producer may, however, disclose Contributor's name and credit as reasonably necessary for promotion and exploitation of the Project.

9. MORAL RIGHTS

Contributor hereby irrevocably waives and agrees not to assert any moral rights or similar rights in relation to the Contributions and the Project, including any right to object to alterations or other treatment of the Contributions.

10. TERM AND TERMINATION

This Agreement shall be effective as of the Effective Date and shall continue in perpetuity unless otherwise terminated in writing by mutual agreement. Termination shall not affect any rights or obligations that have accrued prior to termination.

11. NOTICES

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail, return receipt requested, and shall be effective upon receipt.

12. AMENDMENTS; WAIVER

No amendment to this Agreement shall be effective unless in writing and signed by both parties. No waiver of any provision of this Agreement shall be effective unless in a writing signed by the party granting the waiver.

13. ASSIGNMENT

Producer may assign this Agreement, in whole or in part, to any person or entity. Contributor may not assign this Agreement or any rights hereunder without Producer's prior written consent.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

15. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be deemed to be original signatures for all purposes.

17. MISCELLANEOUS

Any headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement. The parties acknowledge that they have read and understand this Agreement and agree to be bound by its terms.
