FILMING CONTRACT AGREEMENT

This Filming Contract Agreement ("Agreement") is entered into as of Effective Date: by and between Production Company: with principal place of business at and Location Owner: having a principal address at . Production Company and Location Owner are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Production Company is producing a motion picture, television program, commercial, or other audiovisual production entitled Project Title: (the "Production"); and

WHEREAS, Location Owner owns or controls the premises and property described in Section 2 below and is willing to permit Production Company to enter and use such premises for the limited purpose of performing the Production under the terms set forth herein; and

WHEREAS, the Parties desire to set forth the terms and conditions by which Production Company will film at the Location Owner's premises and the obligations of each Party with respect thereto.

NOW, THEREFORE

In consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below: "Premises" means the real property and improvements described in Section 2; "Filming Day" means any calendar day on which Production Company conducts filming activities at the Premises; "Force Majeure" means events beyond a Party's reasonable control as described in Section 12.

2. LOCATION & DESCRIPTION

The Premises shall include all interior and exterior areas reasonably necessary for the Production as identified above and any adjacent parking and access areas that Location Owner permits Production Company to use in connection with the Production.

3. SCHEDULE & ACCESS

Filming shall occur on dates beginning: and ending: , subject to call sheets and reasonable changes as set forth herein. Production Company shall provide Location Owner with advance notice of call times and shall comply with any reasonable access restrictions provided in writing at least days prior to changes.

4. SERVICES AND USE

Production Company may bring equipment, vehicles, sets, props, and personnel onto the Premises for the purpose of filming, photography, audio recording and related activities. Production Company shall not use the Premises for any unlawful purpose and shall not make structural alterations without the prior written consent of Location Owner. Any temporary alterations or set dressing shall be removed and the Premises restored as required by Section 7.

5. COMPENSATION

All amounts are payable in U.S. dollars. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Unless otherwise specified, Production Company is responsible for payment of all crew, permits, and production-related labor.

6. PERMITS, COMPLIANCE & ACCESS

Production Company shall obtain at its sole cost all permits, licenses and approvals required by applicable law for the filming activities unless the Parties specifically allocate responsibility otherwise below.

7. RESTORATION AND DAMAGE

Production Company shall, at its expense, repair or cause to be repaired any damage to the Premises resulting from Production Company's activities and shall restore the Premises to their condition immediately prior to the first day of filming, reasonable wear and tear excepted.

8. INSURANCE

Production Company shall maintain at its expense comprehensive general liability insurance, commercial automobile liability, and workers' compensation in amounts reasonably acceptable to Location Owner. Production Company shall, upon request, deliver certificates evidencing such coverage and naming Location Owner as an additional insured for claims arising out of Production Company's operations.

9. INDEMNIFICATION

To the fullest extent permitted by law, Production Company shall indemnify, defend and hold harmless Location Owner, its officers, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from the negligence, willful misconduct or breach of this Agreement by Production Company or its agents, employees or contractors. Location Owner shall indemnify Production Company for claims arising from Location Owner's negligence.

10. WARRANTIES & REPRESENTATIONS

Each Party represents and warrants that it has full power and authority to enter into this Agreement, that the execution and performance of this Agreement will not violate any other agreement, and that it will comply with all applicable laws and regulations in performing its obligations under this Agreement.

11. CONFIDENTIALITY

The Parties acknowledge that certain information exchanged in connection with the Production may be confidential. Neither Party shall disclose confidential information of the other Party except as required by law or with the prior written consent of the disclosing Party. Confidential information does not include information that is or becomes public through no fault of the receiving Party.

12. FORCE MAJEURE

Neither Party shall be liable for failure or delay in performance to the extent caused by Force Majeure events beyond its reasonable control, provided that the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to resume performance.

13. TERMINATION

This Agreement may be terminated by either Party upon material breach by the other Party if such breach remains uncured for a period of days after written notice. Upon termination, Production Company shall vacate the Premises and restore the Premises in accordance with Section 7.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered personally, by overnight courier, or by certified mail, return receipt requested, to the addresses set forth below or to such other address designated by written notice.

15. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment or modification of this Agreement shall be binding unless in writing and signed by both Parties. Failure or delay by either Party to enforce any right shall not be deemed a waiver of that right. This Agreement may be executed in counterparts, each of which shall be deemed an original and together shall constitute one and the same instrument.

16. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. This Agreement constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

MISCELLANEOUS PROVISIONS

Relationship of the Parties: The Parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture or employment relationship. Assignment: Neither Party may assign this Agreement without the prior written consent of the other, except that Production Company may assign to an affiliate or successor in interest upon written notice.
