WHEREAS Designer has completed and hereby delivers the final drawings, specifications, and associated documentation (collectively, the Final Drawings) as of Submission Date: and represents that the Final Drawings incorporate the Contract Documents and all revisions authorized in writing through the date of delivery.

WHEREAS Client will review the Final Drawings for acceptance, and acceptance by Client shall constitute Client's acknowledgement that the Final Drawings are complete for the purposes stated in this Document, subject to any identified exceptions or listed outstanding items.

CERTIFICATION OF FINAL DRAWINGS

Designer hereby certifies that, to the best of Designer's professional knowledge and belief, the Final Drawings:

  1. Represent the final design documents for the scope described in this Document;
  2. Incorporate all authorized changes, notations, and revisions through the Submission Date;
  3. Are complete for the stated purpose of issuance for construction or record, except for the exceptions, qualifications, or outstanding items stated below.

Designer further represents that the Final Drawings were prepared in accordance with the laws, codes, and standards applicable as of the Submission Date, and Designer shall identify any known code conflicts at the time of delivery.

PAYMENT TERMS

Unless otherwise agreed in writing, payments are due within Payment Period (days): from invoice date. Late payments shall accrue the Late Payment Fee above and any permitted collection costs.

TERM AND TERMINATION

This Document is effective as of Start Date: and shall terminate on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Document for material breach by providing written notice and an opportunity to cure. Termination shall be effective after Notice Period (days): following receipt of such notice if the breach is not cured within that period. Upon termination, Designer shall deliver all completed Final Drawings and shall be compensated for work performed to the effective date of termination in accordance with Payment Terms.

CONFIDENTIALITY

All materials, information, and documents exchanged in connection with the Final Drawings that are marked confidential or would reasonably be understood to be confidential shall be held in confidence by the receiving party and may not be disclosed to third parties without the disclosing party's prior written consent, except as required by law. This obligation survives termination of this Document for a period of three (3) years.

INTELLECTUAL PROPERTY

Designer retains copyright in the Final Drawings as created. Upon full payment, Designer grants Client a non-exclusive license to use the Final Drawings for the Project and purposes for which they were prepared. Any reuse of the Final Drawings for other projects or by other parties without Designer's express written consent is prohibited and voids Designer's representations and warranties to the extent of such reuse.

GOVERNING LAW

This Document shall be governed by and construed in accordance with the laws of the jurisdiction of Governing State: without regard to conflict of law principles.

ENTIRE AGREEMENT

This Document, together with any referenced exhibits, schedules, and attachments expressly incorporated herein, constitutes the entire agreement between the parties concerning the Final Drawings and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter hereof. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
