FINAL PAYMENT WAIVER AND RELEASE

This Final Payment Waiver and Release (the "Release") is made as of by and between Client Name: with principal address (\"Payor\"), and Contractor Name: with principal address (\"Payee\").

RECITALS

WHEREAS, Payee performed labor, furnished materials and provided services pursuant to a written contract, purchase order or agreement described as: ; and

NOW THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

For purposes of this Release, the following terms shall have the meanings set forth below: "Contract" means the written agreement referenced above and all changes and modifications thereto; "Final Payment" means the payment described in the Recitals in the amount set forth in final_payment_amount; and "Claims" means any and all liens, demands, causes of action, suits, debts, accounts, covenants, contracts, claims for delay, acceleration, extra work, interest, attorney's fees, costs and expenses, whether liquidated or unliquidated, known or unknown, asserted or unasserted.

2. TYPE OF RELEASE

— Upon receipt of the Final Payment by Payee, and subject to collection of the instrument by which such payment is made, Payee hereby conditionally waives and releases all Claims arising through the date specified in final_payment_through_date against Payor to the extent of Final Payment actually received. This conditional release is effective only upon final and irrevocable collection of funds.

— Payee warrants that Payee has received Final Payment in full in cleared funds as of the date of this Release and, in consideration of such payment, unconditionally waives and releases any and all Claims arising through the date specified in final_payment_through_date against Payor to the extent described herein.

3. RELEASE AND LIEN WAIVER

Upon payment of the Final Payment as provided herein (or, if a Conditional Release is selected, upon final collection), Payee, for itself and its successors, assigns, subcontractors, suppliers and materialmen, hereby waives, releases and forever discharges Payor, Payor's agents, lenders, sureties and assigns from any and all Claims, liens, stop notices, bond claims, rights to assert equitable remedies, and any other encumbrances related to the Contract or the Project through the date specified in final_payment_through_date to the extent of Final Payment.

4. REPRESENTATIONS AND WARRANTIES

Payee represents and warrants that: (a) Payee has performed all obligations required to be performed for which the Final Payment is made; (b) Payee has paid all laborers, subcontractors, material suppliers and vendors for work and materials for which Final Payment is intended; (c) there are no outstanding claims, except as specifically retained in writing in Section 5 below; and (d) Payee has authority to execute this Release on behalf of all parties for whom it purports to release Claims.

5. EXCEPTIONS AND RETENTIONS

This Release does not apply to any Claims expressly identified and reserved in writing by Payee below. Any Claim not specifically identified below is deemed waived.

To the fullest extent permitted by law, Payee shall indemnify, defend and hold harmless Payor and Payor's officers, directors, agents, employees and assigns from and against any and all losses, liabilities, claims, demands, damages, costs and expenses, including reasonable attorneys' fees and costs, arising out of any Claim waived pursuant to this Release, or from Payee's breach of the representations and warranties contained herein.

8. NOTICES

All notices required or permitted under this Release shall be in writing and delivered to the parties at the addresses set forth below (or to such other address as a party designates by notice in accordance with this Section).

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Release may not be amended except by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party waiving compliance. This Release may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Release shall be governed by and construed in accordance with the laws of the state identified below. This Release constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements. If any provision of this Release is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. CERTIFICATION

Payee certifies under penalty of perjury that all statements contained in this Release are true and correct, that Payee has authority to execute this Release, and that Payee understands that the effect of this Release is to terminate and waive the right to assert Claims against Payor to the extent provided herein.
