This certificate is furnished to Lender for purposes of determining availability under the Credit Agreement and may be relied upon by Lender, its successors and assigns. The undersigned acknowledges that Lender may, at its option, require additional documentation or verification and that any determination by Lender as to eligibility or valuation of collateral shall be conclusive for purposes of the Credit Agreement absent manifest error.
