Upon Event of Default, Lender may, at its election, accelerate all outstanding amounts, apply any security, collect costs of collection including reasonable attorneys' fees, and pursue any remedy available at law or in equity. Each party represents and warrants that it has full corporate or individual power and authority to enter into this Add On and that the execution and performance will not violate any law or existing agreement. Borrower covenants to continue performance of its obligations under the Original Agreement and to execute any documents reasonably necessary to effectuate this Add On.

Notices

All notices shall be in writing and delivered to the addresses set forth below or such other address as a party designates by notice. Notices are effective upon (a) personal delivery, (b) two business days after deposit with a nationally recognized overnight courier, or (c) three business days after deposit in the United States mail, postage prepaid, certified mail, return receipt requested.

Miscellaneous

This Add On amends and supplements the Original Agreement only to the extent expressly set forth herein. Except as amended, the Original Agreement remains in full force and effect and is hereby ratified. This Add On may be amended only by a writing signed by both parties. If any provision is found invalid, the remaining provisions shall remain in full force. This Add On shall be governed by the laws of the state specified in the Original Agreement.
