Whereas the parties entered into an original agreement or transaction identified as: Reference No. dated (Original Agreement); and whereas the Issuer requires the Client to pay certain additional fees consistent with the terms set forth herein.

Additional Fee Schedule

The Issuer shall assess additional fees as set forth in the schedule below. Each Fee line identifies the reason, calculation method, amount, frequency, and start/end dates.

Issuer shall calculate each additional fee in accordance with the Amount / Calculation stated in the Fee Schedule. Fees shall be invoiced to Client and are due within days of the invoice date unless otherwise agreed in writing.

Late Payment; Interest; Remedies

Any amount not paid when due shall incur a late fee of and interest at an annual rate of %, calculated daily and compounded monthly, from the due date until paid in full. Interest shall not exceed the maximum lawful rate.

If Client fails to cure any unpaid amount within days after written notice, Issuer may declare all outstanding amounts immediately due and payable and pursue collection, including reasonable attorney's fees, costs, and enforcement expenses.

Taxes and Withholding

Unless otherwise specified in writing, Client is responsible for all taxes (other than Issuer's income taxes) arising from the Additional Fees. If any withholding is required by applicable law, Client will deduct such withholding and timely remit to the proper authority and provide Issuer with proof of payment.

Representations and Warranties

Each party represents and warrants to the other that: (a) it has the full corporate or individual power and authority to enter into this Agreement; (b) the execution and performance of this Agreement will not violate any agreement or law binding on such party; and (c) all information provided to the other party is true and accurate in all material respects.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the contact information set forth below or to such other address as a party designates by written notice. Notices are effective upon receipt.

Assignment; Governing Law; Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Issuer may assign fees and rights to collect fees to an affiliate or a financing source without Client consent provided Client receives written notice.

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

No amendment or waiver of any provision of this Agreement is effective unless in writing and signed by both parties. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. This Agreement, together with the Original Agreement, constitutes the entire agreement between the parties concerning the subject matter herein.
