Consideration and Release

Upon receipt by Creditor of payment in strict accordance with the Settlement Amount and this Agreement, Creditor shall execute a release and acknowledgment that the Original Balance identified herein has been satisfied in full and that no further amount is due from Debtor with respect to the released obligation, except as expressly provided in this Agreement.

Representations, Warranties and Covenants

Each party represents and warrants that it has full authority to enter into this Agreement; that the person signing on its behalf is authorized to bind the party; and that the statements set forth in this Agreement are true and complete. Debtor further covenants that no other payments have been made to Creditor that are inconsistent with the payment schedule set forth above.

Default and Remedies

If Debtor fails to make any payment when due and such failure continues for a period of days after written notice, Creditor may declare the entire unpaid portion of the Original Balance immediately due and payable, pursue collection and exercise any rights available at law or equity. Creditor's acceptance of any late payment shall not constitute a waiver of default unless executed in writing.

Costs, Taxes and Fees

Debtor shall be responsible for reasonable collection costs and attorneys' fees incurred by Creditor in enforcing this Agreement. Each party shall bear its own taxes resulting from the settlement unless otherwise required by law.

Confidentiality

The parties agree that the terms and existence of this Agreement are confidential and will not be disclosed to third parties except as required by law or as necessary to enforce this Agreement. Notwithstanding the foregoing, either party may disclose the terms to its legal and financial advisors subject to nondisclosure obligations.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses below by certified mail, courier, or personal delivery. Notices are effective on receipt.

Miscellaneous

Governing Law: The validity, interpretation and performance of this Agreement shall be governed by the laws of the State of , without regard to conflict of law principles.

Entire Agreement: This Agreement, together with any written addenda, constitutes the entire agreement between the parties and supersedes all prior oral and written agreements relating to the subject matter hereof. No amendment shall be effective unless in writing and signed by both parties.
