Payment Authorization & Terms

By signing below, Cardholder authorizes Merchant and Merchant's payment processor to charge the credit card provided above for amounts due for goods and services rendered under the Client Account identified on this form. Authorization includes one-time charges and, where indicated, recurring charges in the amounts and frequencies specified on this form or as otherwise invoiced in accordance with the applicable billing agreement.

Cardholder represents and warrants that Cardholder is an authorized signer on the card account and that the information provided on this form is true and correct. Cardholder acknowledges that charges processed in reliance on this authorization are valid and agrees not to dispute such charges with the card issuer provided the charges are consistent with this authorization.

Cardholder may revoke this authorization by providing written notice to Merchant at least 30 days prior to the next scheduled charge. Revocation does not affect charges previously submitted in reliance upon this authorization or any other rights the Merchant may have to collect unpaid amounts. Merchant may suspend or terminate card-on-file privileges for delinquency or suspected fraud.

In the event of a chargeback or reversal initiated by the cardholder or card issuer that Merchant determines to be frivolous or in bad faith, Cardholder agrees to reimburse Merchant for any reasonable fees, penalties, or collection costs incurred as a result of the chargeback or dispute.

Merchant will store card account information only as expressly authorized by Cardholder and will take commercially reasonable measures to protect card information. Cardholder understands that Merchant's acceptance of this form does not guarantee authorization for future charges in excess of the Cardholder's card limits, and Merchant disclaims liability for declined charges that result from insufficient credit, expiration, or suspension of the card by the issuer.
