By submitting this Billing Sheet, Issuer certifies that all goods and services described herein were provided in accordance with the controlling agreement between the parties. Client shall remit payment in full by the Due Date. Amounts not paid when due accrue interest at the rate specified in the Late Fee Policy above, or the maximum rate permitted by law, whichever is less. Client must notify Issuer in writing of any disputed items within 15 days of the Date Issued; undisputed amounts remain payable and are not subject to setoff.

In the event of non-payment, Issuer may pursue collection and recover reasonable costs of collection, including attorneys' fees and expenses. Client is responsible for any applicable sales, use, value-added, or similar taxes unless Client provides valid exemption documentation. This Billing Sheet and any dispute arising from it shall be governed by the laws of the jurisdiction in which the Issuer maintains its principal place of business.
