Remedies and Collection: In the event of default, Issuer may suspend further deliveries or services, declare all outstanding amounts immediately due, and pursue any legal remedies. Issuer is entitled to recover reasonable costs of collection, including attorneys' fees and court costs.

Limitation of Liability: Except for willful misconduct, Issuer's total liability arising out of or related to this invoice or the underlying goods or services shall not exceed the aggregate amounts actually paid by Recipient to Issuer under this invoice.

Governing Law: This invoice and any dispute concerning it shall be governed by the substantive laws of the governing jurisdiction specified in the agreement between the parties; absent such agreement, the laws of the state of the Issuer's principal place of business shall govern, excluding conflict-of-law rules.

Severability; Amendment: If any provision of this invoice is held unenforceable, remaining provisions shall remain in effect. These terms may be amended only by a written agreement signed by an authorized representative of Issuer.
