Eligibility

The Participant is eligible to earn a bonus only if the Participant meets the employment and performance criteria set forth herein for the entirety of the Bonus Period, unless otherwise approved in writing by the Chief Financial Officer.

The Participant's Gross Bonus will be the sum of amounts earned against each Metric as set forth below. Each Metric is subject to verification by Finance and final determination of bonus amounts rests with the Company.

Tax Withholding and Deductions

All bonus payments are subject to applicable federal, state, and local withholding, payroll taxes, and any lawful deductions. The Company will withhold taxes calculated in accordance with applicable law. The Participant acknowledges that the Gross Bonus will be reduced by such withholdings and deductions.

Payment Schedule and Method

Payment will be made in a single lump sum in the payroll period following final determination of results and completion of required approvals, subject to adjustment for taxes and deductions.

Clawback and Repayment

The Participant agrees that any bonus paid in error, paid contrary to the terms of this Agreement, or paid as a result of material misstatement or misconduct may be recovered by the Company in accordance with its recovery and clawback policies. Recovery may include deduction from future wages or legal action where permitted by law.

Termination, Forfeiture, and Amendments

If the Participant is terminated for cause prior to the payment date, any unpaid bonus will be forfeited unless otherwise determined in writing by the Company. The Company reserves the right to amend, modify, or terminate the Program at any time; amendments to this Agreement must be in writing and signed by an authorized representative of the Company.

Confidentiality

Except as required by law, Participant shall not disclose details of bonus calculations, targets, or awards to third parties without prior written consent of the Company. Violation of this confidentiality requirement may result in disciplinary action, up to and including repayment of bonus and termination.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of law principles. Any dispute arising under or in connection with this Agreement shall be resolved by the dispute resolution procedures of the Company applicable to employment-related matters.

Formal notices required under this Agreement shall be delivered to the addresses below. Notices are effective upon receipt.

Approvals and Administration

Final determination of bonus amounts and payments shall be made by Finance in accordance with internal controls and approvals. This Agreement does not create an entitlement to bonuses beyond the Bonus Period unless expressly set forth in writing.
