Taxation, Withholding and Deductions

All payments under this Scheme shall be paid net of all applicable taxes and withholdings. The Company shall withhold amounts as required by law or its internal policies. The Participant acknowledges that the Company will report bonus payments as required and that the Company does not warrant any particular tax treatment.

Forfeiture, Reduction and Clawback

The Company may reduce, defer or require repayment of any bonus (in whole or in part) in the event of:

  • material restatement of financial results; or
  • misconduct, gross negligence or breach of Company policy by the Participant; or
  • fraudulent activity resulting in an inflated performance result; or
  • termination of employment for cause prior to payment.

Change in Control and Termination

In the event of a Change in Control or termination of employment, the treatment of outstanding or accrued bonuses will be determined in accordance with the Company's policies and any applicable written agreement between the Participant and the Company. The Company retains discretion to accelerate, prorate or cancel payments as appropriate.

Amendment, Interpretation and Governing Law

The Company may amend, suspend or terminate this Scheme at any time, provided that amendments affecting accrued rights will be prospective unless otherwise required by law. Any disputes arising under this Scheme shall be governed by the laws of the jurisdiction specified below.
