Provision of goods and services described in this invoice is governed by the following terms. All goods and services are billable as described above. Client shall pay all amounts invoiced in accordance with the payment terms set forth herein. Failure to pay by the Due Date shall, without notice, accrue interest as specified in the Late Payment Policy and shall entitle the Issuer to suspend further performance.

Taxes: All taxes, duties, and similar governmental charges imposed on the transaction shall be borne by the Client unless a valid exemption certificate acceptable to the Issuer is provided in advance. The Issuer will separately state applicable taxes on the invoice.

Limitation of Liability: Except for willful misconduct or gross negligence, each party's aggregate liability arising out of or related to this invoice or the underlying transaction shall not exceed the total amount paid under this invoice. In no event shall either party be liable for special, incidental, consequential, or punitive damages.

Disputes: Any dispute regarding the charges must be submitted in writing within 15 days of the Invoice Date. Client's obligation to pay undisputed amounts remains in full. If no written dispute is received within such period, the invoice shall be deemed accepted.

Collection Costs and Attorneys' Fees: If any amounts are collected by the Issuer through legal process or by retention of an attorney, Client shall be responsible for all collection costs, including reasonable attorneys' fees and court costs.

Governing Law: This invoice and any disputes arising hereunder shall be governed by the laws of the state of , without regard to conflict of law principles.
