Prepayment: Recipient may prepay all or any portion of the outstanding principal and accrued interest at any time without premium, subject to written notice to Provider not later than five (5) Business Days prior to prepayment.

Events of Default: Each of the following shall constitute an Event of Default: (a) failure to make any scheduled payment within five (5) days of its due date; (b) material breach of any representation, warranty or covenant in this Agreement; (c) insolvency or bankruptcy of Recipient; (d) any material adverse change in Recipient's financial condition which, in Provider's reasonable judgment, jeopardizes repayment. Upon Event of Default Provider may declare all amounts immediately due and payable and pursue available remedies at law or equity.
