Each party shall indemnify and hold harmless the other from liabilities, claims, losses or expenses arising from its breach of this Agreement, negligence or willful misconduct. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental or punitive damages.

Buyer shall be responsible for all sales, use, transfer, excise or similar taxes, and any custom duties or registration fees arising from the sale and transfer of the goods, unless expressly stated otherwise in writing.
