Purpose and Authority

This Finance Commission Plan (the "Plan") sets forth the commission structure, eligibility, calculation methodology, payment timing, adjustments and the obligations of the parties for commissions payable by the Company to the Agent. The Company grants commission rights hereunder pursuant to the authority of its finance and sales compensation policies and subject to the terms and conditions stated in this Plan.

The Agent shall maintain confidentiality of all non-public pricing, customer lists and proprietary compensation information disclosed by the Company. During the Plan term and for the period specified below, the Agent shall not directly solicit the Company's customers as described in the confidentiality and non-solicitation provisions.

Termination

This Plan may be terminated by either party for material breach that remains uncured after written notice, or by the Company without cause upon the notice period set forth below. Upon termination, commissions that are earned and unpaid through the effective termination date will be paid subject to adjustments and clawbacks consistent with this Plan.

Dispute Resolution and Governing Law

Disputes arising out of or relating to this Plan shall be resolved first by good faith negotiation. If unresolved, disputes will be resolved by binding arbitration or litigation as selected below. The parties agree that the governing law for interpretation of this Plan will be the laws of:
