This Finance Contract Agreement (the "Agreement") is made effective as of between the parties identified above. Lender agrees to extend credit to Borrower and Borrower agrees to repay pursuant to the terms set forth below.

Definitions

"Principal" means the outstanding unpaid principal balance of the Loan. "Business Day" means any day other than a Saturday, Sunday or federal banking holiday. Other defined terms are included in the text of this Agreement.

Security: This obligation is secured by the collateral described below. Borrower grants Lender a security interest in the collateral and agrees to execute such documents as may be necessary to perfect and maintain that security interest.

Representations, Warranties and Covenants

Each party represents and warrants that it has full power and authority to enter into this Agreement, that the execution and delivery of this Agreement and the performance of its obligations do not violate any statute, contract or court order, and that all information provided in connection with the Loan is true and complete. Borrower covenants to use loan proceeds only for the Purpose of Loan and to maintain insurance as required by Lender.

Remedies; Acceleration

Upon the occurrence of an Event of Default, Lender may declare the entire unpaid Principal and accrued interest immediately due and payable, enforce rights against collateral, and pursue any remedies available at law or in equity. Lender's election of one remedy shall not preclude the election of others.

Taxes; Costs

Borrower shall be responsible for all transfer, recording and other taxes or fees attributable to the creation, perfection, or enforcement of security interests and shall reimburse Lender for reasonable costs and expenses, including attorneys' fees, incurred in the enforcement of this Agreement.

Notices

All notices shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or nationally recognized overnight courier. Notice shall be effective upon receipt.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of . The parties agree to submit to the exclusive jurisdiction of the courts located in that state for any dispute arising from or relating to this Agreement.

Miscellaneous

Assignment: Borrower may not assign its rights or delegate its obligations under this Agreement without Lender's prior written consent. Amendments: No amendment shall be effective unless in writing and signed by both parties. Severability: If any provision is held invalid, the remainder shall remain in full force and effect.
