Confidentiality

Each party acknowledges that rates, discounts and related commercial terms are Confidential Information. Neither party will disclose Confidential Information except to employees and agents who have a need to know and who are bound by obligations of confidentiality at least as protective as those set forth herein.

Indemnity and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other from third-party claims arising from its negligent acts or willful misconduct in connection with this Agreement. Except for breaches of confidentiality, indemnity obligations, or willful misconduct, neither party's aggregate liability shall exceed the total amounts paid or payable by Client to Provider under this Agreement in the preceding twelve months.
