The Borrower certifies that the following conditions precedent to this drawdown, as required under the facility agreement, have been satisfied or waived by the Lender. The Borrower further represents and warrants that the representations and warranties in the facility agreement are true and correct as at the date of this Notice and will continue to be true and correct on the drawdown date.

The Borrower agrees to indemnify and hold harmless the Lender against any liability, loss, cost or expense (including reasonable legal fees) arising from reliance on this Notice provided that such liability does not result from the gross negligence or wilful misconduct of the Lender.
