By submitting this Finance eBounties Form, the Payee hereby certifies and warrants that: the services, work product, or deliverables described above were performed in accordance with the applicable request and specifications; the Payee is the lawful owner of all rights conveyed to the Payor, or has obtained all necessary rights and licenses to permit the Payor to use the deliverables without additional compensation; and no third-party obligations or encumbrances exist that would impair the Payor's use.

Payee further certifies that all invoiced amounts are true, correct, and have not been previously paid. The Payor reserves the right to withhold payment in whole or in part pending verification of deliverables or receipt of required tax documentation.

Payment terms are net 30 days from receipt of a properly completed form and acceptable supporting documentation, unless otherwise agreed in writing. Late payments will accrue interest at a rate of 1.5% per month or the maximum permissible by law, whichever is less. Any fees associated with international transfers or currency conversion will be deducted from the payment unless otherwise agreed.

Indemnification: Payee shall indemnify, defend and hold harmless the Payor, its officers, directors and employees from and against any claims, liabilities, losses or expenses (including reasonable attorneys’ fees) arising out of Payee's breach of these warranties, infringement claims, or the inaccuracy of any representation made herein.

Dispute: Any dispute arising from this request will be addressed in good faith between the parties. Pending resolution, the Payor may suspend payment. This form does not alter any separate written agreement between the parties unless signed by authorized representatives.
