Account Holder authorizes the financial institution identified above to debit or credit the designated account as necessary to effect such transfers. This authorization remains in effect until Originator receives written notification of revocation in accordance with the cancellation procedure set forth below.

Account Holder represents and warrants that it has full authority to authorize transfers on the designated account and that all information provided on this form is true and correct. Account Holder agrees to indemnify and hold Originator and any processing bank harmless from all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from any inaccurate or incomplete information provided herein or from unauthorized or improper transfers resulting from Account Holder's failure to provide timely notice of cancellation or changes.

Cancellation: Account Holder may revoke this authorization by providing Originator with written notice at least days prior to the scheduled transfer date. Originator and participating banks shall have a reasonable period to act upon any revocation; Originator shall not be liable for transfers processed before receipt and reasonable opportunity to act upon such revocation.

Processing and Liability: Account Holder acknowledges that processing times, cut-off times, and settlement depend on banking systems and that neither Originator nor its financial institution shall be liable for delays or failures caused by circumstances beyond their reasonable control. In the event of an erroneous debit or credit, Account Holder agrees to notify Originator promptly and cooperate in recovery efforts.
