The parties acknowledge and agree that the schedule and terms below constitute the exclusive fee policy governing the Client's account with the Company unless amended in writing in accordance with Section 8.

Dispute and Adjustment Procedures

The Client must notify the Company in writing of any disputed fee within days of the invoice date. Upon receipt of written notice, the Company will investigate and provide a written determination. Any adjustment found to be required will be credited or refunded to the Client within a commercially reasonable period.

Authorization; Electronic Communications

By signing below, the Client authorizes the Company to assess and collect the fees set forth in this Agreement, including by charging any payment method on file for the Client. The Client consents to receiving fee notices, statements and other communications electronically unless otherwise agreed in writing.

Client expressly authorizes recurring charges and electronic delivery of fee notices pursuant to this Agreement.

Amendment; Termination

This Agreement may be amended by the Company upon days' prior written notice to the Client. The Client may terminate this Agreement by providing written notice to the Company, subject to payment of all outstanding fees accrued through the effective date of termination.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. If any provision is held invalid, the remainder shall remain enforceable. No waiver of any provision shall be effective unless in writing and signed by the waiving party.
