Billing, Payment, and Taxes

Invoices reflecting fees under this schedule will be issued in accordance with the Frequency indicated for each fee. Payment is due in full in cleared funds within the payment terms specified below. Client remains responsible for all taxes, levies or assessments imposed by any governmental authority related to fees except taxes imposed on Issuing Entity's net income.

Late Payment and Default

If payment is not received by the due date, Issuing Entity may assess a late fee and interest as set forth below. Assessment of late fees or interest does not constitute a waiver of any other remedies available under this Fee Schedule or applicable law.

Refunds, Adjustments and Disputes

Requests for refunds or billing adjustments must be submitted in writing within thirty (30) days of the invoice date. Issuing Entity will investigate disputes in good faith and, if an error is identified, will correct billing and adjust the account. Disputed amounts remaining unpaid after resolution will be subject to applicable late fees and interest.

Adjustments; Amendment; Termination

Issuing Entity reserves the right to amend fees and terms set forth in this Fee Schedule upon written notice to Client provided in accordance with the parties' agreed notice procedures. Unless otherwise stated, amendments become effective as of the effective date specified in the amendment. Continued use of services following an amendment constitutes Client's acceptance of the amended fees. Either party may terminate services under the governing agreement subject to any termination provisions therein; termination does not relieve Client of obligations for fees accrued prior to termination.

Confidentiality; Use of Rates

The fee amounts and schedules disclosed herein are confidential commercial information of Issuing Entity. Client shall not disclose specific fee terms to third parties except as required by law or with Issuing Entity's prior written consent. Issuing Entity retains all rights to use standard or published rates for other clients unless a written agreement specifies otherwise.

Governing Law; Limitation

This Fee Schedule shall be governed by and construed in accordance with the laws of the State identified below, without regard to conflict of law principles. To the fullest extent permitted by law, Issuing Entity's liability with respect to fees or services provided under this Fee Schedule shall be limited to direct damages and shall not include consequential, incidental or punitive damages.
