Scope of Fees

This Fee Schedule sets forth the fees and charges for services to be provided by Provider to Client pursuant to any underlying agreement between the parties. Fees described herein are payable as specified and are in addition to any taxes or reimbursable expenses identified below.

Late Payment: Unpaid amounts shall accrue interest at a rate of % per month (or the maximum rate permitted by law if lower). In addition, Client will be responsible for all reasonable costs of collection, including attorneys' fees and court costs.

Taxes and Reimbursable Expenses

All fees are stated exclusive of taxes. Client shall be responsible for sales, use, excise, value-added, and other applicable taxes imposed by any jurisdiction, unless Client provides a valid exemption certificate. Reimbursable expenses incurred by Provider on behalf of Client shall be invoiced and supported by receipts upon request.

Fee Adjustments and Reviews

Provider may propose fee adjustments upon written notice to Client at least days prior to the proposed effective date. Fee adjustments requested by Provider shall be reasonable and based on cost increases, regulatory changes, or material changes in scope. If the parties do not agree to adjusted fees within 30 days of notice, either party may terminate the underlying services agreement in accordance with its termination provisions.

Representations; Limitation of Liability

Each party represents that it has the authority to enter into this Fee Schedule. Except as expressly set forth herein, Provider makes no warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose. Provider's liability for damages arising under this Fee Schedule shall be limited to direct damages not to exceed the total fees paid by Client under this Fee Schedule during the preceding twelve (12) months. Neither party shall be liable for consequential, incidental, special, or punitive damages.

Termination

Termination of the underlying services agreement or this Fee Schedule does not relieve Client of its obligation to pay fees and expenses accrued prior to the effective date of termination. Any prepaid, unused fees shall be refunded to Client in accordance with the underlying agreement.

Notices

Notices shall be sent to the addresses provided above. Notice is effective when delivered in person, by nationally recognized overnight courier, or five (5) business days after deposit in the U.S. mail, postage prepaid.

Confidentiality

The parties shall maintain the confidentiality of fee information and any non-public business information exchanged in connection with this Fee Schedule, except as required by law or with the other party's prior written consent. Disclosure required by law shall be made only after providing prompt notice to the other party where permitted.
