Recitals

This Intercompany Cost Allocation Agreement (the "Agreement") is entered into by the Provider Company and the Recipient Company listed above for the purpose of establishing binding rules and processes for the allocation, invoicing and payment of shared costs, centralized services and other intercompany charges arising from activities performed on behalf of Recipient Company.

Definitions

For purposes of this Agreement, the following terms have the following meanings unless otherwise specified in an attachment: "Allocated Costs" means direct and indirect costs identified and charged under the Allocation Methodology; "Allocation Period" means the period for which charges are calculated as stated in the Allocation Schedule.

Scope and Allocation Methodology

Provider will perform and allocate the services and costs described in the attached Allocation Schedule. Allocations shall be computed in accordance with the stated allocation bases (e.g., headcount, usage metrics, direct labor hours, revenue share) and shall include a reasonable share of overhead, administrative and other indirect costs when applicable.

Invoicing and Payment

Provider will issue itemized intercompany invoices specifying Allocation Period, supporting backup and reference to this Agreement. Invoices shall be delivered to the Recipient's billing contact and shall include the Allocation Schedule reference and any applicable invoice numbers.

Audit, Records and Substantiation

Recipient shall have the right to audit Provider's records relevant to Allocated Costs upon reasonable notice and during normal business hours not more than once per calendar year, unless material discrepancy is discovered. Provider shall retain supporting documentation for a minimum of three years following the invoice date.

Tax Treatment and Withholding

Each party shall be responsible for its own tax obligations arising from this Agreement. If any withholding or collection is required by law, Recipient shall withhold the required amounts and provide documentation to Provider demonstrating compliance. The parties will cooperate to minimize tax inefficiencies.

Confidentiality

Each party will treat as confidential all financial and operational data exchanged under this Agreement and will not disclose such information except to its employees, agents or advisors with a need to know and who are bound by confidentiality obligations at least as restrictive as those in this clause.

Indemnification and Limitation of Liability

Each party shall indemnify and hold harmless the other party from claims resulting from its gross negligence or willful misconduct in performing obligations under this Agreement. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for consequential, incidental or punitive damages.

Term and Termination

This Agreement shall remain in effect from the Effective Date until terminated by either party upon thirty (30) days' written notice. Termination shall not affect obligations to pay for Allocated Costs accrued prior to termination nor Provider's obligation to retain and deliver records as required by this Agreement.

Dispute Resolution

The parties will attempt in good faith to resolve disputes arising under this Agreement through negotiation between senior representatives. If unresolved within thirty (30) days, disputes shall be escalated to mediation. If mediation fails, either party may pursue remedies in a court of competent jurisdiction.

Notices

Notices under this Agreement shall be in writing and delivered to the billing contact details provided above or to updated contacts provided in writing. Notice is effective upon delivery by hand, electronic mail with confirmation, or three business days after deposit in the mail.

Representations and Certification

Each party represents and warrants that it has the corporate authority to enter into this Agreement, that the individual signing on its behalf is authorized to do so, and that all allocations and invoices provided will be prepared consistently with the allocation methodology set forth herein and applicable accounting standards.
