If full payment is not received by the Due Date, a late fee shall be applied equal to the lesser of 1.5% per month or the maximum rate permitted by applicable law, calculated daily from the Due Date until paid in full. Interest and late fees shall be considered part of the outstanding balance and may be added to future invoices.

Any claim, dispute, or request for adjustment must be submitted in writing within 14 days of the Invoice Date; failure to timely notify the issuer constitutes an irrevocable waiver of the claim. Acceptance of any partial payment shall not be deemed a waiver of issuer's right to collect the remaining balance or to pursue all available remedies for collection, including costs of collection and attorney fees.

Title and risk of loss for goods pass to the recipient upon delivery unless expressly agreed otherwise in writing. Issuer's liability for any claim arising from the goods or services invoiced is limited to the invoice amount paid for the specific goods or services and shall not include indirect, consequential, or punitive damages.

This invoice and any payment disputes shall be governed by the substantive laws of the jurisdiction indicated by issuer at the time of issuance, excluding its conflicts-of-law rules. If any provision of these Terms and Conditions is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
