In the event of insufficient funds, Account Holder authorizes the imposition of returned-item or overdraft charges in accordance with the deposit agreement and bank policy.

Late Payment Fee: If an authorized payment is not completed when due as a result of insufficient funds or rejected instruction, Account Holder shall be responsible for a late fee in the amount of or of the payment, whichever is greater.

Indemnification: Account Holder shall indemnify, defend and hold harmless KeyBank, its officers, employees and agents from and against any loss, liability, claim, demand, or expense (including reasonable attorneys’ fees) arising out of or related to Account Holder’s breach of this authorization or any wrongful, negligent or fraudulent act or omission by Account Holder or its agents.

Revocation and Termination

This authorization shall remain in full force and effect until KeyBank has received written notice of revocation from Account Holder at least ten (10) business days prior to the scheduled debit date and KeyBank has had a reasonable opportunity to act upon such notice. Termination of this authorization does not affect Account Holder’s obligations for payments already initiated.
