Recitals

This Finance Mandate Letter (the "Mandate") sets out the terms on which the Client appoints the Agent to act as the Client's mandated financial advisor, arranger and agent for the purposes described below. The parties agree that the Agent shall act in accordance with the authority granted in this Mandate and subject to the terms and conditions set forth herein.

1. Appointment

The Client hereby appoints the Agent on the Effective Date as exclusive agent to perform the services described in Section 2 and to take such actions as are customary and necessary to carry out such services, including negotiating term sheets, soliciting lenders or investors, coordinating documentation and receiving and delivering documentation on behalf of the Client where specifically authorized in writing.

The Agent is authorized, as directed by the Client, to perform one or more of the following services. Select all services to be included in the Mandate:

3. Fees, Expenses and Payment

The Client agrees to pay the Agent fees and reimburse expenses as described below. All fees are exclusive of taxes unless otherwise stated.

Unless otherwise agreed in writing, the Client will reimburse the Agent for reasonable out-of-pocket expenses incurred in connection with the mandate upon presentation of supporting invoices. Late payment by the Client will accrue interest at the rate specified in the Payment Terms field below.

4. Term and Termination

This Mandate shall commence on the Effective Date and continue until the earlier of: (a) completion of the services for which the Agent was appointed; (b) termination by either party upon thirty (30) days' prior written notice; or (c) termination in accordance with the express termination provisions contained in any engagement letter executed by the parties.

5. Representations and Warranties

Each party represents and warrants to the other that it has full corporate power and authority to enter into and perform its obligations under this Mandate, and that execution and delivery of this Mandate has been duly authorized by all necessary corporate action.

6. Confidentiality

Each party shall treat as confidential all information received from the other party in connection with the Mandate and shall not disclose such information to any third party except to its professional advisors, prospective financiers or as required by law, provided that the recipient shall take reasonable steps to ensure that such advisors or prospective financiers are bound to confidentiality obligations no less restrictive than those contained herein.

7. Conflicts of Interest

The Agent shall use commercially reasonable efforts to identify and disclose to the Client any material conflicts of interest known to the Agent at the time of engagement. The Client acknowledges that the Agent may act for other clients and counterparties provided no confidential information of the Client is disclosed without consent.

8. Indemnity

The Client agrees to indemnify and hold harmless the Agent and its affiliates from and against any losses, claims, liabilities and expenses arising out of or in connection with the Client's breach of this Mandate, except to the extent such losses result from the gross negligence or willful misconduct of the Agent.

9. Governing Law and Dispute Resolution

This Mandate shall be governed by and construed in accordance with the laws of . Any dispute arising out of or in connection with this Mandate shall be resolved by the courts of the selected jurisdiction unless the parties agree in writing to arbitration.

10. Notices

All notices and other communications under this Mandate must be in writing and delivered to the addresses set forth in the Client Details and Agent Details sections or to such other address as either party may specify in writing.

11. Miscellaneous

This Mandate constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings. No amendment shall be effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
