Provider will accept and process mobile payment transactions on behalf of Client in accordance with the terms of this Agreement. Services include transaction authorization, settlement, reconciliation reports, and limited technical support as described below.

Billing, Payment and Settlement

Provider will invoice Client for fees in accordance with the Fee Schedule. Unless otherwise agreed, fees are due within days of invoice. Provider may offset fees against settlement proceeds where permitted by applicable law and contract.

Late payment shall accrue interest at per month (or the maximum permitted by law) and Provider reserves the right to suspend services for accounts more than days past due.

Refunds, Chargebacks and Reconciliation

Client is responsible for refunds and chargebacks arising from transactions originated by Client. Provider will debit Client for chargebacks and associated fees. Disputes over fees require written notice within days of invoice; failure to timely notify constitutes waiver.

Representations, Warranties and Compliance

Each party represents and warrants that it has the authority to enter this Agreement, will comply with all applicable laws and payment network rules, and will not use the Services for unlawful transactions. Client warrants that it will accurately represent products and services sold and will not process prohibited items.

Indemnification and Limitation of Liability

Client will indemnify, defend, and hold harmless Provider from claims arising from Client's breach, negligence, or unlawful activity. Provider's aggregate liability for any claim related to this Agreement shall not exceed the total fees paid by Client to Provider in the preceding months, except for willful misconduct or gross negligence.

Term and Termination

The initial term of this Agreement is months commencing on the Effective Date and will renew automatically for successive terms unless either party provides written notice of non-renewal at least days before the end of the then-current term. Either party may terminate for material breach if the breach is not cured within days after written notice.

Confidentiality and Data Security

Each party shall protect confidential information and implement commercially reasonable security measures to protect cardholder data and personal information. Breach notification obligations will be followed in accordance with applicable law.

Notices and Governing Law

Notices shall be in writing and delivered to the addresses provided above. This Agreement is governed by the laws of the State of without regard to conflict of law principles.

Miscellaneous

This Agreement, including any exhibits and the Fee Schedule, constitutes the entire agreement between the parties and may be amended only by a written instrument signed by both parties. Neither party may assign this Agreement without the other's prior written consent except to an affiliate or in connection with a merger or sale of substantially all assets.
