Fees, Invoicing and Payment Terms

All fees described herein are exclusive of taxes, duties, and similar governmental assessments. Subscriber shall pay all applicable sales, use, value-added, or other transactional taxes arising from this Agreement, except taxes based on Vendor's net income. Service, Support and Data

Vendor obligations: Vendor will provide MS365 subscription services and commercially reasonable support as set forth in the service summary. Vendor will implement commercially reasonable administrative, physical, and technical safeguards for protection of Subscriber Data. Subscriber is responsible for backing up its own data and configuring services to meet Subscriber's requirements.

Confidentiality, Privacy and Compliance

Each party agrees to maintain in confidence Confidential Information disclosed by the other party and to use such information solely for performance under this Agreement. Vendor will process Subscriber Data only as necessary to provide the services and in accordance with Subscriber's documented instructions. Each party shall comply with applicable data protection laws and industry-standard controls.

Warranty; Limitation of Liability; Indemnity

Warranty: Vendor warrants that the subscription services will materially conform to the service description. Exclusive remedy for breach of this warranty shall be Vendor's commercially reasonable efforts to correct the nonconformity. EXCEPT AS EXPRESSLY SET FORTH, VENDOR MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability: EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID TO VENDOR BY SUBSCRIBER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Indemnity: Subscriber shall indemnify and hold Vendor harmless from third-party claims arising from Subscriber's misuse of the services or breach of Subscriber's obligations under this Agreement. Vendor shall indemnify Subscriber for third-party claims that the services, as provided, infringe third-party intellectual property rights, subject to Vendor's sole control of defense and settlement.

Termination; Effect of Termination

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured after thirty (30) days' written notice. Upon termination, Subscriber shall immediately cease using the subscription services. Termination shall not relieve Subscriber of its obligation to pay fees accrued through the effective date of termination. Any fees for prepaid but unused services are subject to the refund policy described below.

Audit, Assignment and Governing Law

Audit: Vendor reserves the right to audit Subscriber's compliance with licensed seat counts upon reasonable prior notice; Subscriber shall cooperate and make records available. Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a sale of substantially all assets.
