Taxes: All fees are exclusive of taxes, duties, levies or similar governmental charges. Unless a valid exemption certificate is provided, such taxes shall be borne by the Client. Any tax identification required for processing should be provided prior to payment.

Lien and Collection: If payment is not made when due, the Issuer may exercise any and all remedies available under the applicable agreement or law, including but not limited to suspension of services, imposition of liens, and recovery of collection costs and attorneys' fees.

Limitation of Liability and Indemnity: Except as expressly provided in an underlying O&M agreement, Issuer's liability for claims arising from the services invoiced is limited to the amount paid under this invoice. The Client shall indemnify and hold Issuer harmless from claims arising from Client-supplied equipment, misuse, or Client's negligent acts.
