Order Acceptance: This order constitutes an offer to purchase the goods and/or services described above. Acceptance by the Supplier is expressly limited to the terms contained in this Finance Order Form. Any additional or different terms proposed by Supplier are objected to and will not become part of this order unless expressly agreed in writing by the Issuing Party.

Prices and Taxes: Prices are as stated and are firm unless otherwise noted. The Issuing Party is responsible for sales, use, value-added, and other taxes unless a valid exemption certificate is provided. Duties and import fees are the responsibility of the party identified as the payer in the payment instructions.

Payment Terms and Late Payment: Payment shall be made in accordance with the Payment Terms specified in this form. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and the Issuing Party shall reimburse Supplier for reasonable collection costs, including attorneys' fees.

Delivery; Title and Risk of Loss: Supplier shall deliver in accordance with the agreed delivery schedule. Title and risk of loss shall pass to the Issuing Party upon delivery to the agreed delivery point unless otherwise set forth in writing.

Cancellation and Returns: Cancellation or rescheduling requests must be submitted in writing. Supplier may impose cancellation fees, restocking charges, or require compensation for work performed prior to cancellation. Returns shall be governed by Supplier's standard return policies unless otherwise agreed.

Limitation of Liability and Warranties: Supplier warrants that goods supplied conform to specifications and are free from material defects for the warranty period stated by Supplier. Except as expressly provided, all other warranties are disclaimed to the fullest extent permitted by law. Neither party shall be liable for consequential, incidental, or special damages except for liability arising from gross negligence or willful misconduct.

Governing Law: This Finance Order Form shall be governed by and construed in accordance with the laws of the jurisdiction agreed by the parties. Disputes not resolved by negotiation shall be resolved in the courts of the agreed jurisdiction.

Credit and Approval: Fulfillment of this order may be subject to credit approval. Supplier reserves the right to require payment in advance, delivery terms, or other security if credit is not approved.
