Supplier shall deliver goods in accordance with this Order. Buyer shall inspect delivered goods within days of receipt and shall either accept or provide written rejection and nonconformity notice. If Buyer fails to provide timely notice, goods will be deemed accepted.

Warranties; Remedies

Supplier warrants that goods will conform to specifications, be free from defects in material and workmanship, and be fit for the intended purpose for a period of months from delivery. Buyer's exclusive remedies for breach shall be repair, replacement, or refund at Supplier's election. Warranty claims must be made in writing.

Limitation of Liability; Indemnity

Except for bodily injury or willful misconduct, neither party shall be liable to the other for incidental or consequential damages arising out of this Order. Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising out of its negligence, willful misconduct, or breach of this Agreement.

Taxes; Title and Risk of Loss

Unless otherwise stated, prices exclude sales, use, value-added, and similar taxes. Title and risk of loss pass to Buyer upon Supplier's delivery to the agreed destination unless otherwise set forth herein.

Termination

Either party may terminate this Order for material breach if the breach remains uncured thirty (30) days after written notice. Termination will not relieve Buyer of obligation to pay for conforming goods already delivered.
