Acceptance of this order by Issuer is expressly conditioned on these terms. Any additional or different terms proposed by Customer are rejected unless expressly agreed in a written amendment signed by an authorized representative of Issuer.

Price and availability are subject to change until Issuer issues a written order confirmation. Risk of loss transfers to Customer upon delivery to the carrier or customer-designated location as specified in this document. Customer is responsible for all applicable taxes, duties, and governmental charges unless a valid exemption certificate is provided prior to shipment.

Payment default shall occur if amounts due are not received by the due date. In the event of default, Issuer may suspend performance, accelerate amounts due, and recover all collection costs, including reasonable attorneys' fees. Issuer's total liability for any claim arising from or related to this Order Summary is limited to direct damages not to exceed the amount paid by Customer to Issuer under this order; in no event shall Issuer be liable for consequential, incidental, or punitive damages.

Any change orders, cancellations, or returns are subject to Issuer's prior written consent and may be subject to restocking fees, minimum charges, and adjustments to delivery schedules. Disputes relating to this Order Summary will be governed by the laws of the state in which Issuer's principal place of business is located, without regard to its conflict of laws rules.
