Invoicing and payment terms: Invoices will be issued in accordance with the payment terms set forth above. Payment is due in full by the due date on the invoice. Taxes and Duties: Unless expressly stated otherwise, all prices exclude applicable taxes, duties, and similar governmental charges. Client is responsible for all such taxes and duties, except for taxes based on Issuer's net income.

Delivery and Lead Time: Delivery dates and lead times are estimates only and are not guarantees. Issuer will use commercially reasonable efforts to meet schedules, but shall not be liable for delays due to acts of God, supplier delays, transportation issues, or Client-caused delays.

Cancellation and Changes: Client may request changes or cancellation in writing. Issuer may charge reasonable fees and expenses incurred prior to acceptance of such request, including costs of materials, labor, and administrative expenses.

Warranty and Limitation of Liability: Issuer warrants that goods sold hereunder will conform to the written specifications provided. OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL ISSUER'S LIABILITY EXCEED THE AMOUNTS PAID BY CLIENT UNDER THIS PRICING SHEET.

Confidentiality: The terms and pricing contained in this Pricing Sheet are confidential and may not be disclosed to third parties without prior written consent of Issuer, except as required by law.

Governing Law and Dispute Resolution: This Pricing Sheet is governed by the substantive laws of the governing jurisdiction identified by the parties. Any dispute arising hereunder shall be resolved by arbitration or as otherwise agreed in writing by the parties.
