This invoice is issued for production services rendered in accordance with the governing production agreement and purchase order where applicable. Payment is due in full by the Due Date unless otherwise agreed in writing. Any disputed items must be submitted in writing within 14 calendar days of Invoice Date; undisputed portions remain payable in full.

Late Payment: Unpaid amounts after the Due Date shall accrue interest at the lesser of 1.5% per month or the maximum lawful rate. In addition, Issuer reserves the right to suspend delivery of final deliverables, assert a security interest or lien in delivered materials, and recover reasonable collection costs and attorneys' fees. All invoices are subject to final reconciliation and adjustment for agreed changes in scope.

Intellectual Property: Issuer retains title to raw production materials and grants Client only the rights expressly set forth in the controlling agreement. Final deliverables conveyed upon full payment as specified in the governing contract.

Governing Law & Remedies: This Invoice shall be governed by the law specified in the controlling agreement. In the absence of such provision, the laws of the state of the Issuer's principal place of business govern. Acceptance of payment or partial payment does not waive any right to pursue sums due or remedies available under law or contract.
